1. AGREEMENT

1.1 By using WidgetBuddy services, you agree to be bound by the terms of this Agreement. WidgetBuddy is a product of VideoCRO LTD a company based in Bulgaria, provides a widget service designed to enhance conversions on e-commerce websites.

2. SERVICES AND SUPPORT

2.1 WidgetBuddy will make commercially reasonable efforts to provide you with the services outlined in Exhibit A (Service Level Terms). As part of the registration process, you will provide an administrative username and password for your WidgetBuddy account.

2.2 Technical support services will be provided as outlined in Exhibit B. Your use of WidgetBuddy's website is subject to our Privacy Policy.

3. RESTRICTIONS AND RESPONSIBILITIES

3.1 You agree not to reverse engineer, decompile, or attempt to discover the source code of WidgetBuddy's services. You will not use the services for timesharing or service bureau purposes or in violation of any applicable laws.

3.2 You are responsible for obtaining and maintaining the equipment needed to use WidgetBuddy's services.

4. CONFIDENTIALITY; PROPRIETARY RIGHTS

4.1 Each party will protect the other's confidential information and use it only for the purposes of this Agreement.

4.2 You own all rights to your data. WidgetBuddy owns and retains all rights to the services, software, and related technologies.

4.3 WidgetBuddy has the right to collect and analyze data for the improvement of services and other business purposes.

5. INDEMNITY

5.1 WidgetBuddy will hold you harmless from liability for infringement resulting from the services. This excludes instances not under WidgetBuddy's control or as a result of your actions.

6. LIMITATION OF LIABILITY

6.1 WidgetBuddy and its suppliers will not be liable for indirect, exemplary, or incidental damages.

7. MISCELLANEOUS

7.1 If any provision is unenforceable, it will be limited to the minimum extent necessary. This Agreement is not assignable without written consent. Notices will be in writing and deemed received when confirmed electronically.

7.2 This Agreement is governed by the laws of the State of Bulgaria.

This Agreement represents the understanding between WidgetBuddy and you, superseding all previous agreements.

Service Level Terms

Services will be available 99.9%, measured monthly. Downtime credits may apply as outlined in Exhibit A.
